These Terms and Conditions (“Terms”) govern all bookings and performance services provided by Hybrid Performing Arts (“the Company”) to any client (“the Client”). By confirming a booking or making payment, the Client agrees to be bound by these Terms.

Performance Agreement

• Hybrid Performing Arts will perform the specific show, act, or routine agreed upon in writing between the Company and the Client.
  Any modifications to the agreed performance (such as theme, duration, number of artists, or act type) must be approved in writing by both parties prior to the event.
• The Company reserves the right to make reasonable artistic adjustments to ensure safety, quality, or flow of the show without materially changing the agreed-upon concept.

Performance Rights

• The Company reserves the right to decline or modify any performance requests that compromise the safety, reputation, or integrity of its artists or brand.

Client Cooperation

• The Client must cooperate with the Company and provide venue access, facilities, and event staff coordination to enable smooth execution.
• Failure to provide necessary access or resources may result in delays, additional fees, or cancellation without liability to the Company.

Fees and Payments

• The total fee for the services provided (“Total Fee”) shall be as stated in the official quotation issued by the Company.
• A non-refundable deposit of 50% of the Total Fee (“Deposit”) is required to secure the booking. Bookings are not confirmed until the Deposit has been received.
• The remaining balance must be paid no later than three (3) business days after the event. Failure to pay within this period may result in legal action to recover the amount owed, including collection costs.
• Bookings made within forty-eight (48) hours of the performance time will incur an additional 10% late booking fee. The Deposit must still be paid in full prior to the performance.

Travel and Accommodation

• For events held outside Gauteng, more than 130km from Randburg, or in locations deemed unsafe for night travel, the Client must provide overnight accommodation for the artist(s) near the venue.
• The Client is responsible for all travel and accommodation costs, including but not limited to fuel, tolls, flights, and meals. Additional fees may apply to compensate artists for travel and overnight stays.
• For events located more than 50km from Randburg, the Client must cover travel expenses such as fuel and tolls.

Performance Delays

• If the performance start time is delayed due to the Client or the event, a 30-minute grace period will apply.
• After the grace period, a fee of R700 per artist will be charged for every additional 30 minutes of delay.

Rehearsal and Technical Runs

• If a technical rehearsal or dry run is required, a fee of R700 per artist will be applied.

Cancellations

• Cancellations made more than 48 hours before the performance: the Deposit may be refunded less preparation costs (e.g., choreography, costumes, rehearsals).
• Cancellations made within 48 hours of the event: the Deposit will be forfeited and no refund will be provided.
• If the Company cancels the performance, the Client will receive a full refund of the Deposit.
• If cancellation occurs due to circumstances beyond either party’s control (e.g., natural disasters, government actions, pandemics), the Client will receive a refund of the Deposit less preparation costs

Health and Safety

• The Client must ensure a safe environment for all performances, including obtaining necessary permits and safety personnel where required.
• The Company reserves the right to halt or cancel a performance if safety is compromised. In such cases, no refund will be issued unless the cause qualifies as force majeure.
• If the venue is deemed unsafe for fire performances, the Company may either perform an alternative non-fire act or cancel the performance. No refund will be issued if cancellation results from unsafe venue conditions.

Liability and Indemnification

• The Client agrees to indemnify and hold harmless the Company and its artists from all claims, damages, or expenses resulting from unsafe conditions or negligence on the Client’s part.
• The Company is not responsible for injuries, losses, or damages sustained during the event, except in cases of gross negligence or misconduct by the Company.

Copyright and Media Usage

• All performance content and choreography remain the intellectual property of the Company.
• The Client may share photos and videos on social media, provided the Company and artists are credited and tagged appropriately.
• Commercial use of any recordings or media requires prior written consent from the Company.

Non-Exclusivity

• These Terms do not create an exclusive relationship. The Company may provide entertainment services to other clients or events at any time.

Equipment and Technical Requirements

• The Client must provide all necessary sound, lighting, and technical equipment, unless otherwise agreed in writing.
• If Company equipment (e.g., fire props, LED props) is used, the Client must safeguard it and will be liable for any damage due to negligence or misuse.
• The Client must provide refreshments for the artist(s) at the event. For extended engagements, meals must also be provided.

Non-Disparagement

• Both parties agree not to engage in any conduct or make any statements, publicly or privately, that could disparage or damage the other party’s reputation or business.

Confidentiality

• Both parties agree to maintain the confidentiality of any proprietary, financial, or sensitive information exchanged before, during, or after the performance.
